2. B2B Nature of Our Services

Noble Ark BV primarily offers its products and services to professional customers and businesses.

When you place an order on behalf of a company, you confirm that you are authorized to legally represent that company.

Professional customers are responsible for providing accurate company and billing information, including company name, company registration number, and VAT number where applicable.

If an order is placed by a consumer, the mandatory statutory consumer protection rules shall apply where relevant. No provision of these Terms and Conditions is intended to exclude or restrict any statutory consumer rights.

3. Shopify

Our online store is hosted and technically supported by Shopify Inc. Shopify provides the e-commerce platform through which we offer and sell our products and services online.

The use of our online store may also be subject to certain technical or additional terms imposed by Shopify.

4. Products and Personalized Products

Noble Ark BV offers, among other things, skincare and cosmetic products that may be sold under the Noble Ark brand, under a private-label or white-label concept, or personalized according to the specifications of a business customer.

Personalized products may include customized packaging, labels, branding, artwork, colors, product selection, and other product specifications.

A personalized product may be specifically manufactured or customized for a customer. As a result, specific conditions may apply to such products regarding cancellation, returns, and refunds.

These conditions are described, where applicable, in our Return, Cancellation and Refund Policy.

The customer is responsible for the accuracy of all information, files, logos, texts, images, trademarks, and other materials provided to Noble Ark BV for personalization purposes.

The customer confirms that they have all necessary rights and permissions to use and provide such materials to Noble Ark BV.

Noble Ark BV is not responsible for infringements of intellectual property rights arising from materials supplied by the customer.

5. Cosmetic Regulations and Product Safety

Noble Ark BV strives to ensure that cosmetic products placed on the market within the European Union comply with applicable European and Belgian laws and regulations.

For cosmetic products falling within the scope of Regulation (EC) No. 1223/2009 on cosmetic products, the applicable requirements regarding, among other things, product safety, safety assessments, product information, labeling, registration, and the responsible person shall be observed.

Cosmetic products may only be placed on the European market where the applicable legal requirements have been met.

Where Noble Ark BV acts as the responsible person for a cosmetic product, Noble Ark BV assumes the responsibilities associated with that role under applicable legislation.

Where a customer acts as the responsible person, importer, or other economic operator, the statutory obligations applicable to that customer shall remain the customer's responsibility.

The customer may not make changes to a cosmetic product, its composition, packaging, or labeling that could result in non-compliance with applicable legislation, unless such changes have been agreed with Noble Ark BV in advance and the required legal assessments have been carried out.

Applicable EU cosmetic regulations may include requirements relating to product safety, safety assessments, product information files, notification, and labeling, depending on the role of the relevant economic operator.

6. Product Information and Images

We strive to ensure that product information, descriptions, images, colors, dimensions, and specifications displayed on our website are as accurate as reasonably possible.

Images may be for illustrative purposes only and may differ slightly from the actual product due to screen settings, manufacturing processes, or personalization.

We reserve the right to modify product information, specifications, and prices where necessary, for example due to changes in legislation, availability, suppliers, production, or product development.

We will not make such changes in a manner that conflicts with mandatory applicable law or agreements that have already been concluded, unless legally permitted.

7. Prices

Noble Ark BV reserves the right to change prices for future orders. A price change shall not affect an order that has already been validly confirmed, unless otherwise agreed or legally permitted.

8. Orders

Orders may be placed through the online store or through another sales process offered by Noble Ark BV.

An order becomes final once Noble Ark BV has accepted it or once the order has been confirmed in accordance with the applicable ordering procedure.

We reserve the right to refuse an order where there is a legitimate reason to do so, for example when:

The customer should inspect the delivered products as soon as reasonably possible after receipt.

If products are visibly damaged, missing, or do not correspond to the order, the customer should notify Noble Ark BV as soon as possible and, where possible, provide photographs and relevant information.

This inspection requirement does not limit any statutory rights the customer may have under mandatory applicable law.

13. Returns, Cancellations and Refunds

Returns, cancellations, and refunds are subject to the applicable Return, Cancellation and Refund Policy of Noble Ark BV.

Specific conditions may apply to personalized products, as these products may have been manufactured or customized according to the customer's specifications.

Such conditions do not affect any rights that cannot legally be excluded under mandatory applicable law.

14. Intellectual Property

If you provide Noble Ark BV with ideas, suggestions, feedback, designs, or other information, Noble Ark BV may use such information to the extent reasonably necessary to improve our services, perform an agreement, or respond to your request.

Noble Ark BV shall only be liable for damage to the extent that such damage is the direct result of an attributable breach of contract or unlawful act by Noble Ark BV and to the extent that such liability cannot validly be excluded or limited under applicable law.

To the extent permitted by law, Noble Ark BV shall not be liable for indirect damage, consequential loss, business interruption, loss of profits, loss of revenue, loss of data, or other indirect financial loss, unless such exclusion is not permitted by applicable law.

Nothing in these Terms and Conditions is intended to exclude or limit liability to the extent that such exclusion or limitation is not permitted by law, including liability that cannot legally be excluded under mandatory provisions.

For business customers, a reasonable contractual limitation of liability may be agreed, to the extent permitted by law and depending on the nature of the agreement.

If a customer acts in breach of these Terms and Conditions or infringes the rights of third parties, the customer may be liable for any damage suffered by Noble Ark BV as a result, to the extent attributable to the customer under applicable law.

This provision does not affect the statutory rights and obligations of either party.

24. Severability

If any provision of these Terms and Conditions is declared wholly or partially invalid, void, or unenforceable, the remaining provisions shall remain fully effective to the extent permitted by law.

The relevant provision shall, where possible, be interpreted or amended in a manner that most closely reflects its original purpose while remaining within the limits of applicable law.

For business customers, the parties shall seek to resolve any disputes amicably through mutual consultation wherever reasonably possible.

If a dispute cannot be resolved amicably, the competent courts of the judicial district having jurisdiction under the applicable legal rules shall have jurisdiction.
